# MedicalVTT Terms of Use

These Terms of Use ("Terms") govern your access to and use of MedicalVTT, including the MedicalVTT mobile application, website, subscription features, account features, libraries, dictation tools, transcription tools, and related services (collectively, the "Service"). The Service is provided by [Your Legal Name or Company Name] ("MedicalVTT," "we," "us," or "our").

By downloading, accessing, subscribing to, or using the Service, you agree to these Terms. If you do not agree to these Terms, do not use the Service.

## 1. The Service

MedicalVTT is a medical voice-to-text productivity tool designed to help users dictate, transcribe, edit, copy, share, and manage medical terminology and related text. The Service may include speech recognition support, transcription assistance, medical terminology libraries, acronym expansion tools, custom term libraries, adaptive learning features, subscription features, access-code features, and related productivity tools.

MedicalVTT is not a medical device, electronic health record, clinical decision support system, diagnostic tool, treatment tool, billing system, coding system, emergency service, or substitute for professional medical judgment.

## 2. No Medical Advice

The Service does not provide medical advice, diagnosis, treatment recommendations, clinical judgment, or professional healthcare services. Any transcription, text, phrase suggestion, medical terminology correction, acronym expansion, formatting, or other output generated or displayed by the Service is provided only for productivity and documentation assistance.

You are solely responsible for reviewing, verifying, editing, and approving all text before relying on it, sharing it, storing it, submitting it to any record system, or using it in connection with patient care, professional documentation, billing, coding, compliance, or any other purpose.

Do not use the Service as a substitute for professional judgment. If you believe there is a medical emergency, call emergency services immediately.

## 3. Accuracy of Transcription and Content

Speech recognition, transcription, medical terminology handling, acronym expansion, phrase correction, text processing, and predictive features may be inaccurate, incomplete, delayed, interrupted, or affected by speech clarity, background noise, accent, pronunciation, device performance, microphone quality, operating system behavior, language support, network conditions, software limitations, user settings, and other factors.

You acknowledge that medical terminology errors may create serious risks if not reviewed. You agree that MedicalVTT is not responsible for errors, omissions, substitutions, formatting issues, misunderstood terms, missing text, incorrect medical terminology, incorrect acronym expansions, or any consequences resulting from your use of or reliance on Service output.

## 4. User Responsibilities

You agree to:

- Use the Service only for lawful purposes.

- Maintain the confidentiality and security of your device, account, credentials, and any content you create, copy, share, export, or store.

- Review and verify all transcribed, suggested, corrected, expanded, or processed text before using it.

- Obtain any required consents, authorizations, permissions, or approvals before dictating, entering, sharing, or processing information through the Service.

- Comply with all laws, regulations, professional rules, employer policies, institutional policies, and contractual obligations that apply to your use of the Service.

- Use appropriate safeguards when handling sensitive, regulated, confidential, or professional information.

You agree not to:

- Use the Service for emergencies or time-critical clinical decisions.

- Use the Service to provide medical advice generated by the Service itself.

- Enter, store, or submit patient protected health information ("PHI") or patient-identifying information into custom terms, custom library entries, feedback forms, suggestions, bug reports, or other non-clinical input areas.

- Reverse engineer, copy, modify, resell, sublicense, scrape, or exploit the Service except as permitted by law.

- Interfere with or disrupt the Service, servers, networks, billing systems, security features, account systems, or access-code systems.

- Use the Service in a way that infringes, violates, or misappropriates any person's rights.

- Attempt to gain unauthorized access to any account, system, database, code, subscription entitlement, or feature.

## 5. Health Information, PHI, and Privacy

You are responsible for deciding what information you enter, dictate, store, copy, share, export, or otherwise process using the Service. You should not enter or process sensitive personal information, PHI, patient-identifying information, or confidential healthcare information unless you have determined that your use complies with all applicable laws, regulations, policies, consents, authorizations, and professional obligations.

Custom terms and custom library entries are personal to your account and are intended for terminology assistance only. Do not add patient names, dates of birth, medical record numbers, addresses, phone numbers, email addresses, Social Security numbers, insurance numbers, or other patient-identifying information to custom terms or custom library entries.

By using the Service, you also agree to the Privacy Policy.

Unless we separately enter into a written agreement that expressly states otherwise, MedicalVTT is not intended to create a business associate relationship under HIPAA or similar healthcare privacy laws, and these Terms do not constitute a business associate agreement.

## 6. Accounts

Some features may require an account. You agree to provide accurate account information and to keep it current. You are responsible for all activity that occurs through your account or device.

We may suspend or terminate access to the Service if we believe your account has been used in violation of these Terms, applicable law, platform rules, or the rights or safety of others.

## 7. Account Deletion

You may request or initiate deletion of your account through available in-app account deletion features or by contacting us at medicalvttsupport@gmail.com.

Deleting your account may permanently delete account information and personal library data associated with your account. Certain information may be retained where necessary or permitted for legal compliance, security, fraud prevention, dispute resolution, enforcement of these Terms, backup integrity, tax/accounting records, subscription records, or other legitimate business purposes.

Deleting your MedicalVTT account does not automatically cancel an Apple App Store subscription. If you purchased through Apple, you must manage or cancel your subscription through your Apple Account settings.

Aggregate, de-identified, or non-personal learning counters may remain after account deletion if they do not identify you.

## 8. Subscriptions, Billing, and Cancellation

MedicalVTT may offer paid subscriptions, including MedicalVTT Premium. Subscription pricing, duration, included features, renewal terms, and cancellation options are shown at the time of purchase.

If you purchase a subscription through Apple, your payment, renewal, cancellation, and refund rights are handled by Apple and governed by Apple's applicable terms. Subscriptions may automatically renew unless canceled in accordance with Apple App Store rules before the renewal date. You can manage or cancel App Store subscriptions through your Apple Account settings.

We may change subscription features, prices, or availability from time to time, subject to applicable law and platform rules. If required, price changes or subscription changes will be presented through Apple or the applicable purchase platform.

Except where required by law or applicable platform rules, payments are non-refundable.

## 9. Access Codes and Promotions

We may offer access codes, promotional access, trials, discounts, business access, institutional access, or other special offers. These offers may be limited by time, user, account, email address, organization, device, region, feature set, or other eligibility requirements.

We may modify, suspend, revoke, or discontinue promotional offers or access-code programs at any time, subject to applicable law. Access codes have no cash value and may not be sold, transferred, or exchanged unless we expressly authorize it.

## 10. Adaptive Learning and Libraries

The Service may include standard medical terminology libraries, custom user libraries, acronym expansion options, medical term counters, ranking features, predictive buckets, and related adaptive learning features.

Standard library content is provided for productivity support and may change over time. Custom library entries are created by you and are your responsibility. Predictive or adaptive features may prioritize terms based on local use, aggregate counters, related-term patterns, or other ranking methods. These features are not medical advice and may be incomplete or incorrect.

You are responsible for reviewing all suggested, ranked, expanded, corrected, or predicted text before use.

## 11. Ownership and License

The Service, including its software, design, features, text, graphics, logos, trademarks, code, databases, medical terminology libraries, workflows, and other content, is owned by MedicalVTT or its licensors and is protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own lawful purposes.

You retain any rights you have in text or content you create using the Service. You are responsible for that content and for how you use, disclose, store, export, or share it.

## 12. Feedback

If you submit suggestions, bug reports, feature requests, comments, ideas, or other feedback, you grant MedicalVTT a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and incorporate that feedback for any lawful purpose without compensation to you.

Do not include PHI, patient-identifying information, confidential information, or information you do not have permission to share in feedback submissions.

## 13. App Store Terms

If you download or use MedicalVTT from the Apple App Store, Apple is not responsible for the Service or its content. Your use of the app is also subject to Apple's applicable App Store terms, including Apple's Licensed Application End User License Agreement or any custom end user license terms made available for the app.

Apple and its subsidiaries are third-party beneficiaries of these Terms for purposes of enforcing applicable App Store-related provisions.

## 14. Third-Party Services

The Service may rely on or interact with third-party services, platforms, operating systems, speech recognition tools, authentication providers, payment processors, app stores, analytics tools, cloud services, or hosting providers.

We do not control all third-party services and are not responsible for third-party actions, interruptions, limitations, terms, privacy practices, security practices, or failures. Your use of third-party services may be subject to separate terms and policies.

## 15. Changes to the Service

We may update, modify, suspend, or discontinue all or part of the Service at any time. We may also add, remove, limit, or change features, compatibility, subscriptions, access methods, supported devices, standard libraries, or access-code programs.

We are not liable for any modification, suspension, or discontinuation of the Service, except where prohibited by law.

## 16. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms, create risk or legal exposure for us, misuse the Service, fail to pay required fees, or use the Service in a way that could harm others.

After termination, provisions that by their nature should survive will continue to apply, including ownership, disclaimers, limitations of liability, indemnity, dispute resolution, arbitration, payment obligations, and account deletion/retention provisions.

## 17. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory.

We disclaim all warranties, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and suitability for medical, clinical, professional, regulatory, billing, coding, documentation, or compliance purposes.

We do not warrant that the Service will be uninterrupted, secure, error-free, accurate, complete, compatible with every device, compatible with every language, or available at all times.

## 18. Limitation of Liability

To the maximum extent permitted by law, MedicalVTT and its owners, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for damages arising from transcription errors, documentation errors, reliance on Service output, loss of data, unauthorized access, professional decisions, patient care, compliance obligations, billing, coding, or inability to use the Service.

To the maximum extent permitted by law, our total liability for any claim relating to the Service or these Terms will not exceed the greater of the amount you paid to use the Service during the three months before the claim arose or $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

## 19. Indemnity

You agree to defend, indemnify, and hold harmless MedicalVTT and its owners, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

- Your use of the Service.

- Your content, custom terms, feedback, or submissions.

- Your violation of these Terms.

- Your violation of applicable law, professional rules, employer policies, or institutional requirements.

- Your professional, clinical, billing, coding, compliance, or documentation use of Service output.

- Your infringement, misappropriation, or violation of another person's rights.

## 20. Governing Law

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles, except to the extent applicable law requires otherwise.

If you are a consumer and applicable law gives you mandatory rights in your place of residence, nothing in these Terms limits those mandatory rights.

## 21. Informal Dispute Resolution

Before filing a claim, you agree to first contact us at medicalvttsupport@gmail.com and attempt to resolve the dispute informally.

Your notice must include your name, the email address associated with your account, a description of the dispute, and the relief you seek. We will attempt to resolve the dispute informally within 30 days after receiving your notice.

## 22. Arbitration Agreement

If a dispute cannot be resolved informally, you and MedicalVTT agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your subscription, your use of the Service, or the relationship between you and MedicalVTT will be finally resolved by binding arbitration administered under the Rules of Arbitration of the International Chamber of Commerce ("ICC Rules"), by one arbitrator appointed in accordance with the ICC Rules.

The place of arbitration will be [City, State, United States]. The language of the arbitration will be English. The governing law will be the law identified in Section 20, except that the Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement where applicable.

The arbitrator will have authority to award any relief that would be available in court, subject to the limitations and exclusions in these Terms. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, security, privacy, or unauthorized access rights.

## 23. Class Action and Jury Trial Waiver

To the maximum extent permitted by law, you and MedicalVTT agree that disputes will be resolved only on an individual basis. You and MedicalVTT waive any right to bring or participate in a class action, collective action, consolidated action, private attorney general action, or representative proceeding.

To the maximum extent permitted by law, you and MedicalVTT waive any right to a jury trial.

If the class action waiver is found unenforceable for a particular claim, that claim must proceed in court and not in arbitration, unless the parties agree otherwise.

## 24. Exceptions to Arbitration

Either party may bring an individual claim in small claims court if the claim qualifies and remains in small claims court.

Either party may seek injunctive or equitable relief in court for misuse of intellectual property, unauthorized access, security incidents, confidentiality violations, or other urgent matters where court relief is necessary.

## 25. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date above. Changes are effective when posted unless a later date is stated.

Your continued use of the Service after changes become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Service.

## 26. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms presented in the Service, form the entire agreement between you and MedicalVTT regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, corporate transaction, sale of assets, or by operation of law.
